Please read this Licence Agreement carefully before installing or using JCOGS Image Pro.
1. Interpretation and Definitions
Interpretation
The words of which the initial letter is capitalised have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.
Definitions
For the purposes of this Commercial Licence:
- Agreement means this Commercial Licence that forms the entire agreement between You and the Company regarding the use of the Software.
- Software or Application means the ExpressionEngine add-on software program provided by the Company named "JCOGS Image Pro" and all related components, files, documentation, and official companion add-ons intended to operate with JCOGS Image Pro (including "JCOGS Image Pro Field").
- Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to JCOGS Design, a trading entity of 2GC Limited, Monkey Island Lane, Bray On Thames, Maidenhead, Berkshire, SL6 2ED, United Kingdom.
- Content refers to images, data, configurations, or other information processed by the Software.
- Country refers to: United Kingdom
- Device means any computing device (server, computer, virtual machine, or hosting environment) on which the Software is installed.
- Installation means a single deployment of the Software on one production domain/website.
- Licence Key means the unique identifier provided by the Company to activate the Software.
- Production Use means use of the Software on a live website accessible to end users.
- Third-Party Services means external services, APIs, or content delivery networks that the Software may utilize.
- You means the individual or legal entity that has purchased a licence to use the Software.
2. Acknowledgment
By purchasing, downloading, installing, or using the Software, You are agreeing to be bound by the terms and conditions of this Agreement. If You do not agree to the terms of this Agreement, do not install or use the Software.
This Agreement is a legal commitment between You and the Company and it governs your use of the Software made available to You by the Company.
The Software is licensed, not sold, to You by the Company for use strictly in accordance with the terms of this Agreement.
3. Licence Grant and Scope
3.1 Licence Grant
Subject to the terms of this Agreement and your payment of applicable fees, the Company grants You a limited, non-exclusive, non-transferable, revocable licence to:
- Install and use the Software on websites/domains for which you have purchased licences
- Create image transformations and caching configurations
- Access Software documentation and support resources
- Receive Software updates during your active licence period
3.2 Installation Limits
Important: Each licence permits installation on ONE (1) production domain only. Multiple installations require multiple licences.
- Single Site Licence: One (1) production domain installation
- Development Use: Unlimited installations on non-public development/staging environments
- Additional Sites: Each additional production domain requires a separate licence purchase
3.3 Permitted Uses
- Commercial use on licensed websites
- Modification of configuration settings and parameters
- Integration with compatible ExpressionEngine installations
- Creating backups for disaster recovery purposes
- Using Software-generated content (processed images) without restriction
4. Licence Restrictions
You may NOT:
- Use the Software on more production sites than licensed
- Share, redistribute, sublicense, or resell the Software
- Reverse engineer, decompile, or disassemble the Software
- Remove or modify copyright notices, licence identifiers, or attribution
- Use the Software for illegal purposes or malicious activities
- Share your Licence Key with unauthorised parties
- Create derivative works based on the Software's core functionality
- Use the Software in ways that violate applicable laws or regulations
5. Licence Key and Activation
5.1 Licence Key Requirements
The Software requires a valid Licence Key for activation and continued use. Each Licence Key is tied to the specific domain(s) for which it was purchased.
5.2 Key Management
- Licence Keys are non-transferable between different purchasers
- Domain changes may require Licence Key updates (contact support)
- Lost Licence Keys can be recovered through your customer account
- The Company reserves the right to deactivate invalid or misused keys
6. Updates and Support
6.1 Software Updates
- Free updates are provided for bug fixes and compatibility improvements
- Major version upgrades may require additional licence fees
- Updates are delivered through the Company's distribution system
- You are responsible for maintaining compatible ExpressionEngine versions
6.2 Support Services
- Email support is provided for licensed users
- Support covers installation, configuration, and troubleshooting
- Response times vary based on issue complexity and licence type
- Support does not include custom development or third-party integrations
7. Privacy and Data Processing
7.1 Data Handling
The Software processes images and related data as part of its core functionality. The Company:
- Does not collect or transmit your processed images
- May collect anonymous usage statistics for improvement purposes
- Stores minimal licensing data required for activation and support
- Complies with applicable data protection regulations
7.2 Third-Party Services
The Software may integrate with third-party services (CDNs, cloud storage, etc.). Your use of such services is subject to their respective terms and privacy policies.
8. Intellectual Property
8.1 Ownership
The Software and all related intellectual property rights remain the exclusive property of the Company. This licence does not transfer ownership of the Software to You.
8.2 Your Content
You retain all rights to images and content processed by the Software. The Software-generated output (optimized images, etc.) belongs to You and may be used without restriction.
9. Term and Termination
9.1 Licence Duration
This Agreement remains in effect until terminated by either party in accordance with the terms herein.
9.2 Termination by Company
The Company may terminate this Agreement immediately if:
- You breach any terms of this Agreement
- You use the Software beyond the scope of your licence
- Payment obligations are not met
- You engage in prohibited activities
9.3 Termination by You
You may terminate this Agreement at any time by discontinuing use of the Software and removing all installations.
9.4 Effect of Termination
Upon termination:
- Your right to use the Software ceases immediately
- You must remove all Software installations
- Licence Keys will be deactivated
- No refunds will be provided except as required by law
10. Warranties and Disclaimers
10.1 Limited Warranty
The Company warrants that the Software will perform substantially in accordance with its documentation under normal use conditions for a period of ninety (90) days from purchase.
10.2 Disclaimer
EXCEPT AS EXPRESSLY SET FORTH ABOVE, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- The Company's total liability shall not exceed the amount paid for the Software
- The Company shall not be liable for indirect, incidental, or consequential damages
- This includes damages for lost profits, data loss, business interruption, or security breaches
- These limitations apply even if the Company has been advised of the possibility of such damages
12. Indemnification
You agree to indemnify and hold harmless the Company from any claims, damages, or expenses arising from:
- Your use of the Software
- Your violation of this Agreement
- Your violation of any third-party rights
- Content processed through the Software
13. Export Compliance
The Software may be subject to export controls. You agree to comply with all applicable export laws and regulations regarding the Software's use and distribution.
14. Governing Law and Disputes
14.1 Governing Law
This Agreement is governed by the laws of England and Wales, without regard to conflict of law principles.
14.2 Dispute Resolution
Any disputes arising under this Agreement shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration.
15. General Provisions
15.1 Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.
15.2 Severability
If any provision is found unenforceable, the remainder of this Agreement shall remain in full force and effect.
15.3 Assignment
You may not assign this Agreement without the Company's prior written consent. The Company may assign this Agreement without restriction.
15.4 Modifications
The Company reserves the right to modify this Agreement with thirty (30) days' notice. Continued use of the Software constitutes acceptance of modifications.
